1. License Grant
Licensor grants Licensee a limited, non-exclusive, non-transferable license to use the software described in this Agreement for Licensee's internal business purposes.
2. Restrictions
Licensee may not:
- sublicense, resell, or distribute the software except as expressly permitted;
- reverse engineer, decompile, or disassemble the software except to the extent required by law; or
- use the software beyond the authorized scope.
3. Fees
Licensee will pay the applicable license fees set out in [ORDER FORM / SCHEDULE].
4. Support and Maintenance
Support services, if any, will be provided as described in [SCHEDULE / SLA].
5. Intellectual Property
Licensor retains all right, title, and interest in the software and related intellectual property.
